1. Agreement to Terms

By accessing or using Ukieo ("the Platform"), operated by Ukieo Inc., you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the Platform.

2. Description of Service

Ukieo is a creative AI work studio that provides tools for generating text, images, video, audio, and other media content using artificial intelligence models. The Platform operates on a credit-based subscription system.

3. Account Registration

To use the Platform, you must create an account using Google OAuth. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information during registration.

4. Subscriptions and Credits

The Platform offers tiered subscription plans (Starter, Creator, Pro, Studio) that provide monthly credit allocations. Credits are used to generate content and are consumed based on the model and operation used.

• Credits reset at the beginning of each billing cycle.
• Unused credits may roll over subject to tier-specific limits.
• Credits have no cash value and cannot be transferred between accounts.
• Subscription fees are billed in advance on a monthly or annual basis through our payment processor, Paddle.

5. Acceptable Use

You agree not to use the Platform to:

• Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Generate content that infringes on the intellectual property rights of others.
• Attempt to reverse engineer, decompile, or extract the underlying AI models.
• Circumvent any rate limits, credit systems, or access controls.
• Use automated scripts or bots to access the Platform without prior written consent.
• Generate deepfake content intended to deceive or harm individuals.

6. Intellectual Property

Subject to compliance with these terms, you retain ownership of the content you create using the Platform. However:

• The Platform, its design, code, and branding are the intellectual property of Ukieo Inc.
• AI-generated content may be subject to the terms of the underlying model providers.
• You grant Ukieo Inc. a non-exclusive license to use generated content for service improvement and promotional purposes, unless you opt out.

7. Content Storage

Generated content is stored on our servers for your convenience. We reserve the right to delete content associated with inactive accounts after 90 days of inactivity. You are responsible for downloading and backing up any content you wish to retain.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may experience downtime for maintenance, updates, or circumstances beyond our control. We are not liable for any losses arising from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Ukieo Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid in subscription fees during the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Platform ceases immediately.

11. Changes to Terms

We may update these terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised terms. We will notify users of material changes via email or in-app notification.

12. Governing Law

These terms are governed by the laws of the State of New York, United States. Any disputes shall be resolved in the courts of New York County, New York.
